1. Acceptance of terms
These Terms & Conditions ("Terms") form a binding agreement between you ("Customer", "you") and JTrade Help Technology Inc., an Ontario corporation with its head office at 5000 Yonge Street, Suite 1901, North York, Ontario, M2N 7E9 ("JTrade Help", "we", "us"). By accessing or using our website, platform, custom-report service, or any related feature (collectively, the "Service"), you accept and agree to these Terms and our Privacy Policy.
2. Definitions
- "Account" - the credentialed access created by or for a Customer to use the Service.
- "Content" - data, text, files, and materials submitted or generated in the Service.
- "Subscription" - a paid plan giving access to the Service for a defined term.
- "Custom Report" - a bespoke research deliverable prepared by our analysts under a separately scoped engagement.
3. Accounts & eligibility
You must be at least 18 years old and have legal capacity to enter contracts in your jurisdiction. When registering, you agree to provide accurate information and to keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account. Notify us immediately at support@jtradehelp.com if you suspect unauthorized use.
4. Subscriptions & billing
- Fees, features, and limits are described on the Pricing page and in your order confirmation.
- All fees are quoted in U.S. dollars unless stated otherwise and are exclusive of applicable taxes, including HST/GST where required in Canada. You are responsible for taxes other than those on our net income.
- Paid Subscriptions renew automatically at the end of each term unless cancelled at least 24 hours before renewal. You can cancel anytime from your Account settings.
- Custom Report engagements are governed by a separate written scope; deposits and staged payments may apply.
- Except where required by law or expressly stated, fees are non-refundable. Overcharges caused by our error will be refunded on request.
- Free trials automatically convert to a paid Subscription at the end of the trial period unless cancelled beforehand.
5. Acceptable use
You agree not to:
- Use the Service in violation of Canadian, Ontario, or other applicable law, including trade sanctions and export controls.
- Reverse engineer, scrape, or attempt to derive the source code, models, or non-public datasets of the Service, except where such restriction is prohibited by law.
- Resell, sublicense, or make the Service available to third parties without our written consent.
- Upload malicious code, attempt to disrupt or gain unauthorized access, or interfere with other Customers.
- Submit personal information about individuals without a lawful basis, or upload Content you don't have the right to share.
We may suspend or terminate Accounts for violations of this section.
6. Data & content
You retain ownership of Content you submit. You grant JTrade Help a worldwide, non-exclusive, royalty-free licence to host, process, display, and transmit that Content solely to provide, secure, and improve the Service and to prepare Custom Reports you request. We may use aggregated, de-identified information derived from usage for analytics, benchmarking, and product improvement.
Trade data published in the Service is aggregated from official statistical sources and licensed datasets. It is provided for informational purposes and does not constitute legal, tax, customs, investment, or trade-compliance advice.
7. Intellectual property
JTrade Help and its licensors own all rights in the Service, including software, interfaces, models, curated datasets, trademarks, and documentation. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during your Subscription term. Reports and dashboards may be shared internally; external redistribution requires our written consent, except where clearly identified as public content.
8. Third-party services
The Service may link to or integrate with third-party services (for example, payment processors and analytics providers). Those services are governed by their own terms and privacy policies, and JTrade Help is not responsible for their content or operation.
9. Disclaimers
Except as expressly stated in these Terms and to the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data or reports will be complete or free of inaccuracy.
10. Limitation of liability
To the maximum extent permitted by law, JTrade Help and its affiliates, directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, data, goodwill, or savings, arising out of or relating to the Service, whether in contract, tort (including negligence), statute, or otherwise, even if advised of the possibility of such damages.
Our aggregate liability for all claims arising out of or relating to the Service in any 12-month period will not exceed the fees you paid to JTrade Help for the Service in the 12 months preceding the event giving rise to liability.
Nothing in these Terms limits liability that cannot be limited under applicable law, including for gross negligence, wilful misconduct, or fraud.
11. Indemnity
You agree to indemnify, defend, and hold JTrade Help harmless from and against any third-party claims, damages, liabilities, and reasonable legal costs arising from (a) your breach of these Terms, (b) your Content, or (c) your use of the Service in violation of law or the rights of any third party.
12. Termination
Either party may terminate a Subscription at the end of the then-current billing term. We may suspend or terminate your access immediately for material breach of these Terms or non-payment. Upon termination, your right to use the Service ends; you may export your data for 30 days, after which we may delete it in accordance with our Privacy Policy. Provisions that by their nature survive termination will do so, including sections 6, 7, 9-11, 13, and 15.
13. Governing law & disputes
These Terms are governed by the laws of the Province of Ontarioand the federal laws of Canada applicable therein, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property.
14. Ontario consumer rights
If you use the Service as a "consumer" under the Ontario Consumer Protection Act, 2002, nothing in these Terms limits or waives any rights, remedies, or statutory guarantees granted to you under that Act or other applicable consumer protection laws, including cancellation rights that may apply to distance (internet) agreements. Any provision that conflicts with those rights is superseded by the mandatory statutory provisions to the extent required by law.
15. General
- Entire agreement. These Terms, the Privacy Policy, and any order form or scope of work form the entire agreement between the parties.
- Amendments. We may update these Terms; material changes will be posted with a new effective date and, where required, notified in advance. Continued use after changes take effect constitutes acceptance.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Failure to enforce a provision is not a waiver of future enforcement.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Language. The parties confirm they have requested these Terms be drawn up in English. Les parties confirment qu'elles ont exigé que la présente convention soit rédigée en anglais.
